The total upfront purchase consideration, which has been paid to the sellers of Sandbox on the date hereof, amounted to approx. EUR 130 million, on a cash and debt free basis. Of the upfront purchase consideration, approximately EUR 30 million, was paid by set-off by transfer of 3,374,030 newly issued shares in Stillfront (the number of shares have been adjusted as a result of the share split of Stillfront’s shares resolved by the Extraordinary General Meeting on 17 December 2020, whereby each existing share was divided into ten shares (10:1) (the "Share Split")) through a directed share issue to the four co-founders of Sandbox, and the remaining part of the upfront purchase consideration, equivalent of approximately EUR 100 million, was paid in cash to the sellers.

The new share issue was resolved on the date hereof by the board of directors of Stillfront based on the mandate granted at the Extraordinary General Meeting held on 17 December 2020. The reason for the deviation from the shareholders’ pre-emption right is to allow that Stillfront will be able to fulfill its commitments made in connection with the acquisition of Sandbox. The subscription price per share related to the upfront purchase consideration amounts to SEK 88.569 (determined through negotiations between Stillfront and the sellers and adjusted as a result of the Share Split) and corresponds to the volume weighted average price per share in Stillfront traded on Nasdaq First North Premier Growth Market during the ten trading days up to and including 16 December 2020 converted into a EUR/SEK exchange rate of 10,2383 corresponding to the average exchange rate between SEK and EUR of the Swedish Central Bank (Sw. Riksbanken) published at https://www.riksbank.se/en-gb/ during the same period. Through the new issue of the shares, the share capital of Stillfront will increase by SEK 236,182.10. The newly issued shares were subscribed and paid for by set-off by the sellers on the date hereof. The issued shares shall be entitled to dividend as from the first record day for dividend after such shares have been registered with the Swedish Companies Registration Office and in the share register kept by Euroclear Sweden AB. Through the new issue of the shares in connection with the completion of the transaction, the dilution for the current shareholders in Stillfront is 0.96 percent on a fully diluted basis (i.e. based on the total number of shares and votes registered in Stillfront after completion of the share issue in relation to the transaction).

In addition, the sellers may receive an earn-out purchase consideration which is a payment of 1x EBIT for each of the financial years 2021, 2022, 2023 and 2024. The earn-out purchase consideration shall be satisfied as to approximately 78 percent of such sum in cash and, as to approximately 22 percent in the form of new issued shares in Stillfront. The subscription price for the issued shares related to the earn-out purchase consideration (if any) will be based upon the volume weighted average price of the shares in Stillfront traded on Nasdaq First North Premier Growth Market for a period of ten trading days up to and including the day before Stillfront's announcement of financial results for the applicable earn-out period.

Sandbox will be consolidated into Stillfront’s consolidated financial reporting from 1 January 2021.

Teckningspriset per aktie i relation till den initiala köpeskillingen uppgår till 88,569 SEK (baserad på förhandlingar mellan Stillfront och säljarna och justerad som ett resultat av Aktiespliten) och motsvarar den volymvägda genomsnittskursen per aktie i Stillfront som handlades på Nasdaq First North Premier Growth Market under de tio handelsdagarna före och inklusive den 16 december 2020 konverterad till EUR till en kurs om 10,2383 motsvarande den genomsnittliga växelkursen mellan SEK och EUR hos Sveriges Riksbank publicerad på https://www.riksbank.se/en-gb/ under samma period. Genom nyemissionen av aktier kommer Stillfronts aktiekapital öka med 236 182,10 SEK. De nyemitterade aktierna tecknades och betalades genom kvittning av säljarna per dagens datum. Aktiespliten kommer ske automatiskt via Euroclear och aktieägare behöver inte vidta några åtgärder. Aktierna som erhålls genom aktiespliten beräknas att registreras på aktieägares VP-konton den 29 december 2020.

The board of directors has determined that the record day for the division of the shares in Stillfront Group AB (publ) will be 28 December 2020. The last day for trading in the company’s shares before the share split is 22 December 2020. The first day for trading in the company’s shares after the share split is 23 December 2020. From and including 23 December 2020, the new ISIN code for the company’s shares is SE0015346135. After the share split is completed, the number of shares in the company increases from 34,653,720 shares to 346,537,200 shares. The share split is carried out without changes of the share capital, which entails that the share’s quota value will change from SEK 0.7 to SEK 0.07. The share split will be executed automatically via Euroclear Sweden AB and shareholders do not need to take any action. The shares that are received after the share split is expected to be registered on the shareholders' securities accounts on 29 December 2020.

UNAUDITED PROFORMA INFORMATION JAN-SEPT 2020
A preliminary proforma income statement for the nine months ended 30 September 2020 is shown below, with the purpose of describing a hypothetical financial result of Stillfront as if the Acquisitions had been completed per 1 January 2020. No synergies have been taken into consideration. Super Free has USD as its reporting currency and Sandbox has EUR as its reporting currency. The USD and EUR figures have been translated to SEK using the average FX-rate for the period, with USD/SEK at 9.4650 and EUR/SEK at 10.5603. Stillfront has carried out a preliminary IFRS conversion of the financial result of the Acquisitions for the purposes of the proforma financial statements.

PROFORMA INCOME STATEMENT

Following completion of the Acquisitions, Stillfront’s leverage ratio will be approximately 1.4x EBITDA, within its communicated leverage target of 1.5x EBITDA.

The preliminary proforma financial statements do not include further adjustments for other acquisitions Stillfront has completed during the year prior to their respective consolidation in the Stillfront group. All numbers are preliminary and unaudited.

Stillfront has not completed the detailed valuation analysis necessary to arrive at the final estimates of the fair market value of the assets to be acquired and the liabilities to be assumed in connection with the Acquisitions. The preliminary allocation of the consideration for the Acquisitions used in this unaudited preliminary proforma information is based upon Stillfront’s preliminary estimates at the date of preparation of this preliminary proforma information. As a result of the finalization of this allocation after the Acquisitions’ final completions, Stillfront expects to make adjustments to the acquisition analysis, where some of these adjustments could be material. Differences between the preliminary and the final acquisition analysis could have a material impact on Stillfront’s proforma financial performance.

UNAUDITED FORECAST FIGURES FOR THE ACQUISITIONS FOR THE FULL YEAR 2021
For the full year 2021, Stillfront estimates that the Acquisitions jointly will contribute to the Stillfront group with

• Proforma net revenue of SEK 1,500-2,000 million, and
• Proforma adjusted EBITDA of SEK 350-450 million.

Closing of the acquisition of Sandbox is expected no later than 30 December 2020 and closing of the acquisition of Super Free is expected no later than 29 January 2021, as communicated separately earlier today.

The financial assumptions are based on management accounts and forecasts for the Acquisitions. Projected growth is mainly driven by the games Word Collect, Word Nut and Trivia Star and projected game pipeline for Super Free and mobile release, game updates, enhanced marketing and localization of Albion Online for Sandbox.

The upfront consideration for Super Free amounts to USD 150 million and the upfront consideration for Sandbox amounts to EUR 130 million, in each case on a cash- and debt free basis. The combined upfront payment for the Acquisitions thus amounts to approximately SEK 2.6 billion.

For the conversion to SEK the following rates have been used USD/SEK of 8.4813 as the Riksbank rate as of 30 November 2020, EUR/SEK of 10.1579 as the Riksbank rate as of 30 November 2020.

USD- och EUR-beloppen har konverterats till SEK med tillämpning av den genomsnittliga valutakursen för perioden, med USD/SEK om 9,4650 och EUR/SEK om 10,5603. Stillfront har genomfört en preliminär IFRS-konvertering av Super Frees finansiella resultat för den sammanfattade proforman.

PROFORMA RESULTATRÄKNING

Efter slutförande av förvärven kommer Stillfronts skuldsättningsgrad att ligga på cirka 1,4x EBITDA, inom kommunicerat skuldsättningsmål på 1,5x EBITDA.

Den preliminära finansiella proformainformationen inkluderar inte några ytterligare justeringar för andra förvärv som Stillfront har genomfört under året före deras respektive konsolidering i Stillfront-koncernen. Alla siffror är preliminära och oreviderade.

Stillfront har inte slutfört de detaljerade värderingsanalyser som krävs för att komma fram till de slutliga uppskattningarna av det verkliga marknadsvärdet för de tillgångar som ska förvärvas och de skulder som ska övertas i samband med Förvärven. Den preliminära fördelningen av vederlaget för förvärvet som används i denna oreviderade preliminära proformainformationen är baserad på Stillfronts preliminära uppskattningar vid tidpunkten för framtagande av denna preliminära proformainformation. Som ett resultat av slutförandet av denna fördelning efter förvärvets slutförande, förväntar sig Stillfront att göra justeringar av förvärvsanalysen, där vissa av dessa justeringar kan vara väsentliga. OREVIDERADE PROGNOSSIFFROR FÖR FÖRVÄRVEN FÖR HELÅRET 2021
För helåret 2021 beräknar Stillfront att Förvärven tillsammans kommer bidra till Stillfront-koncernen med:

• Proforma-nettoomsättning om 1 500–2 000 miljoner kronor och
• Proforma-justerad EBITDA om 350–450 miljoner kronor.

Tillträde av förvärvet av Sandbox förväntas ske senast den 30 december 2020 och tillträde av förvärvet av Super Free förväntas ske senast den 29 januari 2021, vilka offentliggjordes var för sig tidigare idag.

De finansiella antagandena baseras på förvärvens förvaltningskonton och prognoser. Förväntad tillväxt drivs för Super Free främst av de tre spelen Word Collect, Word Nut och Trivia Star liksom kommande pipeline av nya spel. Förväntad tillväxt för Sandbox drivs främst av mobil lansering, speluppdateringar, förbättrad marknadsföring och lokalisering av spelet Albion Online.

Den initiala köpeskillingen för Super Free uppgår till 150 miljoner USD och den initiala köpeskillingen för Sandbox uppgår till 130 miljoner EUR, i båda fallen på kontant- och skuldfri basis. Den sammanlagda initiala betalningen för Förvärven uppgår således till cirka 2,6 miljarder kronor.

Antalet aktier i relation till den Initiala Köpeskillingen har beräknats genom användandet av den volymvägda genomsnittskursen per aktie i Stillfront som handlas på Nasdaq First North Premier Growth Market under de senaste tio handelsdagarna före och inklusive 16 december 2020 och konverterad till USD till en kurs motsvarande den genomsnittliga växelkursen mellan SEK och USD hos Sveriges Riksbank publicerad på https://www.riksbank.se/en-gb/ under samma period. Teckningspriset per aktie i relation till Initiala Köpeskillingen uppgår således till 885,69 SEK. Detta motsvarar en utspädning på 2,12 procent på en fullt utspädd basis (dvs baserat på det totala antalet aktier och röster registrerade i Stillfront efter emissionen med anledning av Transaktionen.

Founded in 2011 Super Free is a San Francisco based rapidly growing developer of market leading Casual games. The company has a strong portfolio of games, including successful titles such as Word Collect, Word Nut and Trivia Star. Super Free has previously focused on Social Casino games but pivoted successfully to the Casual and Mash-up genre during 2017-2019. Since its foundation, Super Free has been able to develop and scale multiple top-grossing titles in several genres generating in excess of USD 50 million over their lifetime. Super Free has a strong company culture and a dedicated team of approximately 80 mobile game experts, including developers, designers and UA/monetization managers based in multiple countries across the world.

The acquisition of Super Free will strengthen Stillfront’s position within the Casual & Mash-up game genre, especially within Word games. The proprietary state-of-the art games engine of Super Free will enable Super Free and other studios within Stillfront to scale the development of new games on this engine. THE TRANSACTION
The Transaction involves the acquisition of 100 percent of the shares in Super Free, the completion of which is expected to occur no later than 29 January 2021. Super Free will be consolidated into Stillfront’s financial reporting from 1 February 2021.

Upon completion of the Transaction, USD 150 million on a cash and debt free basis will be paid to the sellers, of which 47.5 percent, equivalent of approximately USD 71 million, is payable in cash, and 52.5 percent, equivalent of approximately USD 79 million, is payable in 750,324 newly issued shares in Stillfront. The newly issued shares will be issued based on the mandate to the board of directors of Stillfront granted at the extraordinary general meeting held on 17 December 2020. The number of shares in relation to the Upfront Purchase Price has been calculated using the volume weighted average price per share in Stillfront traded on Nasdaq First North Premier Growth Market during the ten trading days up to and including 16 December 2020 converted into USD at the average exchange rate between SEK and USD of the Swedish Central Bank (Sw. Riksbanken) published at https://www.riksbank.se/en-gb/ during the same period, i.e. the subscription price per share related to the Upfront Purchase Price amounts to SEK 885.69. This corresponds to a dilution of 2.12 percent on a fully diluted basis (i.e. based on the total number of shares and votes outstanding after the share issue).

In addition, the sellers may receive the Earn-out Purchase Price which is a payment of 0-2x EBITDA for each of the financial years 2021, 2022 and 2023 depending on the level of EBITDA generated during each of those years. The Earn-out Purchase Price is payable in 47.5 percent cash to the sellers and 52.5 percent in newly issued shares in Stillfront to the sellers. The subscription price for newly issued shares related to the Earn-out Purchase Price (if any) will be based upon the volume weighted average price of the shares in Stillfront traded on Nasdaq Firth North Premier Growth Market for a period of ten trading days up to and including the day before Stillfront’s announcement of financial results for the applicable earn-out period.

The cash portion of the Upfront Purchase Price and the adjustment consideration (if any) is intended to be financed by cash at hand and available credit facilities.

The 750,324 newly issued shares in Stillfront that are to be issued to the sellers upon payment of the Upfront Purchase Price are subject to customary transfer restrictions during a period of eighteen months of such date of receipt by the sellers of such shares. • The acquisition of Sandbox will provide Stillfront with further platform and genre diversification as Stillfront broadens its current portfolio with a successful title within the MMORPG genre. Furthermore, the acquisition will enable substantial scaling and collaboration potential within Stillfront with the mobile launch of the game planned for H1 2021.

• Den totala initiala köpeskillingen som ska betalas vid fullföljande av förvärvet om 100 procent av aktierna i Sandbox uppgår till 130 miljoner EUR på en kontant- och skuldfri basis (“Initiala Köpeskillingen”). Av den Initiala Köpeskillingen betalas motsvarande cirka 30 miljoner EUR i 337 403 nyemitterade aktier i Stillfront, och den återstående delen av den Initiala Köpeskillingen motsvarande cirka 100 miljoner EUR, betalas kontant till säljarna.
• Därutöver, kan säljarna komma att erhålla en tilläggsköpeskilling om 1x EBIT för vart och ett av räkenskapsåren 2021, 2022, 2023 och 2024 (“Tilläggsköpeskillingen”), beroende på EBIT-utvecklingen under vart och ett av åren, vilken ska betalas cirka 78 procent kontant och cirka 22 procent i nyemitterade aktier i Stillfront.
• Sandbox har en preliminär oreviderad IFRS-konverterad nettoomsättning och justerad EBITDA om cirka 9,5 miljoner EUR respektive cirka 5,2 miljoner EUR för perioden jan-sep 2020.
• Förvärvet av Sandbox kommer att ge Stillfront ytterligare plattforms- och genrediversifiering då Stillfront breddar sin nuvarande portfölj med en framgångsrik titel inom MMORPG-genren (massively multiplayer online role-playing game). Vidare kommer förvärvet att möjliggöra betydande skalfördelar och samarbetspotential inom Stillfront med den mobila lanseringen av spelet som planeras till H1 2021.
• Tillträdet av Transaktionen är föremål för sedvanliga tillträdesvillkor och är planerad att ske senast den 30 december 2020 och Sandbox kommer konsolideras i Stillfronts konsoliderade finansiella rapportering från och med den 1 januari 2021.

BAKGRUND OCH SYFTE
Sandbox grundades 2012 av MMO-entusiaster och erfarna spelveteraner i Tyskland och är ett snabbväxande och mycket lönsamt spelföretag. Företaget är utvecklare och utgivare av Albion Online, ett free-to-play sandbox MMORPG-spel med moderna spelattribut som utspelas i en medeltida fantasivärld. Albion Online kombinerar den klassiska sandbox MMO-upplevelsen med moderna spelattribut för att erbjuda en överlägsen spelarupplevelse. Spelet, som har mer än 120 000 mycket engagerade dagliga användare, är free-to-play med en rättvis affärsmodell och en stark intäktsgenerering. Sandbox har cirka 50 anställda vid sitt huvudkontor i Berlin, Tyskland.

Förvärvet av Sandbox bidrar med ytterligare plattforms- och genrediversifiering då Stillfront breddar sin nuvarande portfölj med en framgångsrik och beprövad titel inom MMORPG-genren. Förvärvet tillför snabbväxande intäkter med hög lönsamhet från användare på Windows, macOS och Linux, där Stillfront tidigare har begränsad närvaro. Dessutom kommer förvärvet att möjliggöra betydande skalfördelar och samarbetspotential inom Stillfront, inklusive den stora potentialen i att utnyttja Stillfronts användarbas och lokaliseringsexpertis för att ytterligare förbättra marknadsföring och utöka användarbasen. Albion Online har utvecklats som ett plattformsagnostiskt spel sedan starten och Sandbox planerar för en officiell mobilrelease under första halvåret 2021.

TRANSAKTIONEN
Transaktionen innebär förvärv av 100 procent av aktierna i Sandbox, vars tillträde beräknas ske senast den 30 december 2020. Sandbox konsolideras i Stillfronts konsoliderade finansiella rapportering från och med den 1 januari 2021. Säljarna är de fyra medgrundarna av Sandbox.

Vid slutförandet av Transaktionen kommer 130 miljoner EUR på kontant- och skuldfri basis att betalas ut till säljarna, av vilket motsvarande cirka 30 miljoner EUR, ska betalas i 337 403 nyemitterade aktier i Stillfront, och motsvarande cirka 100 miljoner EUR, ska betalas kontant. De nyemitterade aktierna kommer att emitteras baserat på det mandat till styrelsen i Stillfront som beviljats vid den extra bolagsstämman som hölls den 17 december 2020. Antalet aktier i relation till den Initiala Köpeskillingen har beräknats med hjälp av den volymvägda genomsnittskursen per aktie i Stillfront som handlas på Nasdaq First North Premier Growth Market under de senaste tio handelsdagarna före och inklusive 16 december 2020, konverterad till EUR till en kurs motsvarande den genomsnittliga växelkursen mellan SEK och EUR hos Sveriges Riksbank publicerad på https://www.riksbank.se/en-gb/ under samma period. Teckningspriset per aktie i relation till Initiala Köpeskillingen uppgår således till 885,69 SEK. Detta motsvarar en utspädning om 0,96 procent på en fullt utspädd basis (dvs baserat på det totala antalet aktier och röster registrerade i Stillfront efter emissionen med anledning av Transaktionen). Den Initiala Köpeskillingen kommer att vara föremål för justering utifrån kontanta medel, finansiella skulder, transaktionskostnader och skillnaden mellan förväntad och faktisk skuldsättning i Sandbox vid datumet för förfullföljande av Transaktionen. Det justerade beloppet ska betalas av Stillfront med kontanta medel.

Därutöver kan säljarna erhålla Tilläggsköpeskillingen som en betalning om 1x EBIT för vart och ett av räkenskapsåren 2021, 2022, 2023 och 2024. Tilläggsköpeskillingen ska erläggas, om cirka 78 procent av sådan summa i kontanter och om cirka 22 procent i form av nyemitterade aktier i Stillfront. Teckningskursen för nyemitterade aktier relaterade till Tilläggsköpeskillingen (om någon) kommer att baseras på den volymvägda genomsnittskursen för aktierna i Stillfront som handlas på Nasdaq Firth North Premier Growth Market under en period av tio handelsdagar fram till och med dagen före Stillfronts offentliggörande av finansiella resultat för tillämplig tilläggsköpeskillingsperiod.

Den kontanta delen av Tilläggsköpeskillingen och den justerade köpeskillingen är avsedd att finansieras med tillgängliga kontanter och befintliga kreditfaciliteter.

De 337 403 nyemitterade aktierna i Stillfront som ska emitteras till säljarna vid fullföljandet av den Initiala Köpeskillingen är föremål för sedvanliga överlåtelserestriktioner under en period om arton månader från dagen då säljarna är registrerade som innehavare av sådana aktier. De ytterligare nyemitterande aktier som kommer emitteras vid betalning av Tilläggsköpeskillingen är föremål för sedvanliga överlåtelserestriktioner under en period om tolv månader från dagen då säljarna är registrerade som innehavare av sådana aktier.

Medgrundarna och andra nyckelpersoner kommer att förbli anställda inom Sandbox och vara en del av ledningen för Sandbox efter avslutad Transaktion.

Stämman beslutade i enlighet med styrelsens förslag om en riktad emission av högst 125 000 teckningsoptioner, var och en berättigande till teckning av en aktie i Stillfront, innebärande en ökning av aktiekapitalet vid fullt utnyttjande med högst 87 500 kronor. Dotterbolaget har rätt att överföra teckningsoptionerna på marknadsvillkor till nyckelpersonal i koncernen. Teckningskursen vid utnyttjande av teckningsoptionen ska motsvara det genomsnittliga volymviktade priset för Stillfronts aktie på Nasdaq First North Premier Growth Market under perioden från och med den 3 december 2020 till och med den 16 december 2020 uppräknat med en ränta om 8 procent per år. Priset ska dock inte understiga aktiens kvotvärde. Varje teckningsoption ger innehavaren rätt att teckna en (1) ny aktie i Stillfront, med nuvarande kvotvärde om 0,7 kronor, sista bankdagen varje månad under perioden 1 juni 2023 till 30 juni 2024. Antal aktier och teckningskurs är baserat på kvotvärdet före den aktiesplit som bolagsstämman beslutade om.

Stämman beslutade i enlighet med styrelsens förslag om aktiesplit och därtill relaterade ändringar av bolagsordningen. Aktiespliten medför att antalet aktier i bolaget ökar genom delning av varje befintlig aktie till tio aktier (10:1). Antalet aktier i bolaget ökar genom aktiespliten till 346 537 200 aktier, med ett kvotvärde om 0,07 kronor. Ändringarna av bolagsordningen innebär att gränserna för aktiekapitalet och antalet aktier ändras. Styrelsen bemyndigades att besluta om avstämningsdag för spliten.

Stämman beslutade i enlighet med styrelsens förslag om bemyndigande för styrelsen att intill nästa stämma, med eller utan avvikelse från aktieägarnas företrädesrätt, vid ett eller flera tillfällen besluta om emission av aktier, konvertibler och/eller teckningsoptioner. Ökningen av aktiekapitalet, vilket inkluderar utgivande av, konvertering till eller nyteckning av aktier, får – om den sker med avvikelse från aktieägarnas företrädesrätt – motsvara en utspädningseffekt om högst 10 procent av aktiekapitalet vid den tidpunkt när bemyndigandet utnyttjas för första gången vid emission av aktier, konvertibler och/eller teckningsoptioner. Betalning får ske kontant och/eller med bestämmelse om apport eller kvittning eller i övrigt med villkor. Bemyndigandet ska främst användas för förvärvs- eller finansieringssyfte.

The meeting resolved, in accordance with the proposal of the board of directors, on an issue of not more than 125,000 warrants. Each warrant entitles to subscription of one share in Stillfront, entailing an increase of the share capital of not more than SEK 87,500 if all warrants are exercised. The right to subscribe for the warrants shall, with deviation from the shareholders’ preferential rights, be granted to the wholly owned subsidiary to the company, Todavia AB. The subsidiary shall be entitled to transfer the warrants on market terms to the key personnel of the group. The price for the shares at exercise shall be equal to the average volume weighted share price for Stillfront’s share on Nasdaq First North Premier Growth Market during the period from and including 3 December 2020 until and including 16 December 2020, adjusted upwards with 8 percent annual interest. The price shall however not be lower than the quotient value of the share. Each warrant entitles the holder to subscribe for one (1) new share, with the current quotient value of SEK 0.7, in Stillfront on the last banking day each month during the period 1 June 2023 up to and including 30 June 2024. The number of shares and the subscription price is based on the quotient value before the share split, which the general meeting resolved on.

The meeting resolved, in accordance with the proposal of the board of directors, on a share split and related amendments of the articles of association. The share split entails that the number of shares in the company is increased by division of each existing share into ten shares (10:1). The number of shares in the company will through the share split increase to 346,537,200 shares, each with a quota value of SEK 0.07. The amendments of the articles of association entail that the limits for the share capital and the number of shares are amended. The board of directors was authorized to determine the record date for the share split.

The meeting resolved, in accordance with the proposal of the board of directors, to authorize the board of directors to, until the next general meeting, with or without deviation from the shareholders' preferential rights, on one or several occasions resolve to issue shares, convertible instruments and/or warrants. The increase of the share capital, which entails issuance, conversion or subscription for new shares, may – where it entails a deviation from the shareholders' preferential rights – correspond to a dilution of a maximum of 10 percent of the share capital at the time of the first use of the authorization to issue shares, convertible instruments and/or warrants. Payment may be made in cash and/or with a condition to pay in kind or by way of set-off, or other conditions. The authorization shall primarily be used for the purpose of acquisitions or financing.

Stillfront har tecknat en icke säkerställd revolverande kreditfacilitet om 3,75 miljarder kronor med förfallodatum i december 2023. Den nya kreditfaciliteten ger Stillfront tillgång till en kostnadseffektiv finansiering, en utökad finansiell flexibilitet, samt en förlängd löptid.

Den nya revolverande kreditfaciliteten kommer att ersätta den säkerställda kreditfaciliteten om 1,6 miljarder kronor under ett låneavtal som ingicks i januari 2020.

Kreditfaciliteten tillhandahålls av DNB Bank ASA, Sweden Branch, Nordea Bank Apb, filial i Sverige, samt Swedbank AB (publ). Mannheimer Swartling har agerat juridisk rådgivare till Stillfront.

Stillfront has signed an unsecured revolving credit facility of SEK 3.75 bn with maturity in December 2023. The new credit facility gives Stillfront a cost-effective financing, an increased financial flexibility, and a prolonged time to maturity.

“We are pleased to have secured a new credit facility at favorable terms. The new facility underlines the trust in our strategy and provides us with a larger and more flexible financing platform to continue to deliver on our future growth agenda”, says Andreas Uddman, CFO.

The new revolving credit facility will replace the secured revolving credit facility of SEK 1.6 bn provided under the facilities agreement from January 2020.

The facility is supported by DNB Bank ASA, Sweden Branch; Nordea Bank Abp, filial i Sverige; and Swedbank AB (publ). Mannheimer Swartling has acted as legal advisor to Stillfront.

Aktieägare som vill delta på den extra bolagsstämman ska dels

För att ha rätt att delta på den extra bolagsstämman måste aktieägare som låtit förvaltarregistrera sina aktier genom bank eller annan förvaltare tillfälligt inregistrera sina aktier i eget namn hos Euroclear Sweden AB (så kallad rösträttsregistrering). Aktieägare som önskar sådan omregistrering måste underrätta sin förvaltare om detta i god tid före den 9 december 2020. Rösträttsregistrering som begärts av aktieägare i sådan tid att registreringen gjorts av förvaltaren senast den 11 december 2020 kommer dock att beaktas vid framställning av aktieboken.

Information om poströstning

Med anledning av utbrottet av coronaviruset som orsakar COVID-19 och aktieägarnas säkerhet, har Stillfront beslutat att den extra bolagsstämman enbart kommer hållas genom poströstning enligt lag (2020:198) om tillfälliga undantag för att underlätta genomförandet av bolags- och föreningsstämmor. Detta innebär att den extra bolagsstämman hålls utan närvaro av aktieägare, ombud och utomstående, d.v.s. det kommer inte hållas någon stämma med möjlighet att delta fysiskt.

Ett digitalt poströstningsformulär finns tillgängligt via den webblänk som anges på Bolagets webbplats www.stillfront.com under rubriken "General meetings". Poströstningsformuläret ska vara mottaget av Bolaget senast onsdagen den 16 december 2020. Formuläret kan skickas via den ovan nämnda webblänken eller via post till Stillfront Group AB (publ), "Extra bolagsstämma", Sveavägen 9, 111 57 Stockholm. Ingivande av poströstningsformulär anses som anmälan om deltagande på den extra bolagsstämman.

En poströst kan återkallas fram till och med den 16 december 2020 genom att skicka ett e-mejl till support@postrosta.se. Om två eller fler formulär har samma datering kommer endast det formulär som sist mottagits att beaktas.

Aktieägaren kan inte lämna andra instruktioner än att markera ett av svarsalternativen vid respektive punkt i formuläret. Om aktieägaren har försett formuläret med särskilda instruktioner eller villkor, eller ändrat eller gjort tillägg i förtryckt text, är poströsten ogiltig. Vidare instruktion finns i poströstningsformuläret.

Aktieägare som poströstar genom ombud ska utfärda dagtecknad fullmakt för ombudet. Om fullmakten utfärdas av juridisk person ska bestyrkt kopia av registreringsbevis eller motsvarande behörighetshandlingar som utvisar behörig firmatecknare bifogas. Fullmakten är giltig ett år efter utfärdande, men kan vara giltig upp till fem år efter utfärdande om detta särskilt anges. Registreringsbeviset får inte vara äldre än ett år. Fullmakten i original samt eventuellt registreringsbevis ska laddas upp i anslutning till det digitala poströstningsformuläret och insändas till Bolaget på adress enligt ovan (se information om poströstning). Huvudsakliga förslag till beslut

Val av ordförande vid stämman (punkt 2)

Det föreslås att Jan Samuelson väljs till ordförande vid den extra bolagsstämman.

Upprättande och godkännande av röstlängd (punkt 3)

Styrelsen föreslår att den extra bolagsstämman godkänner röstlängden som upprättats utifrån de poströster som inkommit i vederbörlig ordning.

Godkännande av dagordning (punkt 4)

Styrelsen föreslår att den extra bolagsstämman godkänner förslaget till dagordning.

Val av en eller två justeringsmän (punkt 5)

Styrelsen föreslår att bolagsstämman väljer person som deltar på stämman och som föreslås av ordföranden till justeringsperson. Om möjligt ska person som inte är styrelseledamot eller anställd i bolaget utses. I uppgiften som justeringsman av protokollet ingår att kontrollera röstlängden och att mottagna poströster är korrekt återgivna i stämmoprotokollet.

Prövning av om stämman blivit behörigen sammankallad (punkt 6)

Styrelsen föreslår att den extra bolagsstämman godkänner att den blivit behörigen sammankallad.

Beslut om långsiktigt incitamentsprogram (LTIP) genom emission av teckningsoptioner och godkännande av överlåtelse av teckningsoptioner till nyckelpersonal (punkt 7)

Bakgrund och skäl till förslaget

En förutsättning för ett framgångsrikt genomförande av koncernens affärsstrategi och bevarande av dess långsiktiga intressen är att koncernen kan behålla de bästa kompetenserna och deras lojalitet, och att Bolagets ledande befattningshavare och andra nyckelpersoner i koncernen (”Nyckelpersonal”) fortsätter att leverera bra resultat och att prestera på en hög nivå. Styrelsen finner det av vikt och i alla aktieägares intresse att Nyckelpersonal i koncernen har ett långsiktigt intresse av en positiv utveckling av Bolagets aktiekurs.

Vid årsstämman den 14 maj 2020 beslutades att inrätta ett långsiktigt incitamentsprogram och utfärda upp till 350 000 teckningsoptioner (”LTIP 2020/2024 I”) att erbjudas Stillfronts ledning och övriga nyckelpersoner i koncernen. 277 000 av dessa teckningsoptioner förvärvades av relevant nyckelpersonal i juni 2020, medan de återstående 73 000 teckningsoptionerna innehas av Stillfront för framtida tilldelning.

På grund av den starka utvecklingen av Stillfronts aktiekurs sedan maj 2020 är teckningskursen för utnyttjande av teckningsoptionerna i serien LTIP 2020/2024 I avsevärt under aktiekursen och den återstående poolen av teckningsoptionerna i serien LTIP 2020/2024 I har därför förlorat dess egenskap av ett långsiktigt incitament. Styrelsen avser därför att makulera de återstående 73 000 utestående teckningsoptionerna i serie LTIP 2020/2024 I och föreslår att den extra bolagsstämman beslutar om ett nytt långsiktigt incitamentsprogram (”LTIP 2020/2024 II”), med samma villkor som för LTIP 2020/2024 I, med undantag för teckningskurs för utnyttjande av teckningsoptionerna och maximalt antal teckningsoptioner, se nedan under ”Villkor för emissionen av teckningsoptionerna”. Det maximala antalet teckningsoptioner som föreslås utfärdas enligt LTIP 2020/2024 II är 125 000, vilket resulterar i en total utspädning vid fullt utnyttjande av alla utestående teckningsoptioner i Bolaget justerat i enlighet med makuleringen ovan, inklusive emissionen i enlighet med förslaget om ca. 2,20 procent av det totala antalet aktier och röster i Bolaget vid tidpunkten för denna kallelse.

Styrelsens förslag

Mot bakgrund av ovanstående föreslår styrelsen att den extra bolagsstämman beslutar om (i) ett långsiktigt incitamentsprogram (LTIP 2020/2024 II) för vissa Nyckelpersonal; (ii) en riktad emission av högst 125 000 teckningsoptioner och (iii) godkännande att det helägda dotterbolag som tecknar sig för teckningsoptionerna överlåter dessa till deltagarna i LTIP 2020/2024 II.

Förberedelse av förslagen

LTIP 2020/2024 II har upprättats av ersättningsutskottet och i samråd med styrelsen. Förslagen har antagits av styrelsen.

Villkor för emissionen av teckningsoptionerna

Styrelsen föreslår att den extra bolagsstämman fattar beslut om emission av teckningsoptioner på följande villkor:

• Bolaget ska emittera högst 125 000 teckningsoptioner av serie 2020/2024 II (''Teckningsoptionerna'').
• Rätt att teckna Teckningsoptionerna ska, med avvikelse från aktieägarnas företrädesrätt, tillkomma det av Bolaget helägda dotterbolaget, Todavia AB ("Dotterbolaget").
• Överteckning kan inte ske.
• Ingen deltagare i LTIP 2020/2024 II kommer att erbjudas att teckna mer än 100 000 Teckningsoptioner under det föreslagna LTIP 2020/2024 II.
• Teckningsoptionerna ska tecknas på separat teckningslista senast den 28 februari 2021. Styrelsen äger rätt att förlänga teckningsperioden. Teckningsoptionerna tilldelas Dotterbolaget vederlagsfritt.
• Varje Teckningsoption ger innehavaren rätt att teckna en (1) ny aktie i Bolaget, med nuvarande kvotvärde om 0,7 kronor, sista bankdagen varje månad under perioden 1 juni 2023 till 30 juni 2024.
• Teckningskursen vid utnyttjande av Teckningsoptionen ska motsvara det genomsnittliga volymviktade priset för Bolagets aktie på Nasdaq First North Premier Growth Market under perioden från och med den 3 december 2020 till och med den 16 december 2020, uppräknat med en ränta om 8 procent per år. Priset ska dock inte understiga aktiens kvotvärde.
• Aktier som emitteras till följd av teckning medför rätt till vinstutdelning första gången på den avstämningsdag för utdelning som infaller närmast efter registrering av nyemissionen hos Bolagsverket och aktierna har blivit registrerade i aktieboken som förs av Euroclear Sweden AB.
• De fullständiga villkoren för Teckningsoptionerna framgår av styrelsens fullständiga förslag som hålls tillgängligt enligt vad som framgår nedan. Som framgår därav kan teckningskursen, liksom antalet aktier som Teckningsoption berättigar till teckning av, komma att omräknas vid fondemission, nyemission samt i vissa andra fall.
• Ökningen av Bolagets aktiekapital kommer vid utnyttjande av Teckningsoptionerna att uppgå till högst 87 500 kronor, dock med förbehåll för den ökning som kan föranledas av att omräkning av teckningskursen och antalet aktier som varje Teckningsoption berättigar till teckning av kan komma att ske till följd av emissioner med mera.

Villkor för överlåtelse av teckningsoptionerna

Styrelsen föreslår att den extra bolagsstämman beslutar om att godkänna överlåtelse av teckningsoptionerna på följande villkor:

• I enlighet med ovanstående ska rätten att teckna sig för Teckningsoptionerna, med avvikelse från aktieägarnas företrädesrätt, tillkomma Dotterbolaget. Dotterbolaget ska i sin tur ha rätt att erbjuda och överlåta Teckningsoptionerna till Nyckelpersonal inom ramen för LTIP 2020/2024 II.
• Styrelsen beslutar om den slutliga tilldelningen av Teckningsoptionerna. Tilldelningen kommer att bedömas på individuell basis för Nyckelpersonalen, med beaktande av sådan Nyckelpersonals position inom koncernen och deras respektive totala ersättning.
• Överlåtelse av Teckningsoptionerna från Dotterbolaget till Nyckelpersonal ska ske till ett pris motsvarande marknadsvärdet av Teckningsoptionerna vid tiden för överlåtelsen beräknat i enlighet med Black & Scholes av en oberoende värderingsman.
• Teckningsoptioner som inte överlåts i enlighet med ovanstående eller återköps av Dotterbolaget under något optionsavtal, ingått mellan Dotterbolaget och respektive Nyckelperson, ska behållas av Dotterbolaget, så att de enligt instruktioner från Bolagets styrelse kan erbjudas och överföras till annan Nyckelpersonal eller makuleras om Bolagets styrelse så önskar.
• Teckningsoptionerna ska i övrigt omfattas av sedvanliga villkor, vilka bland annat innebär att Teckningsoptionerna ska omfattas av en skyldighet för Nyckelpersonal som önskar överlåta eller annars sälja Teckningsoptionerna till tredje man att först erbjuda Dotterbolaget att förvärva Teckningsoptionerna. Teckningsoptionerna ska också omfattas av en rätt för Dotterbolaget att återköpa Teckningsoptionerna om en Nyckelpersons anställning i Bolaget upphör, eller om Nyckelpersonen säger upp sig eller blir uppsagd, under programmets löptid.

Skälet till avvikelse från aktieägarnas företrädesrätt är att uppnå optimal intressegemenskap mellan deltagarna i LTIP 2020/2024 II och aktieägarna samt att främja ett långsiktigt aktieägande.

Styrelsen bemyndigas att genomföra beslutet i enlighet med punkterna (i) och (ii) ovan och säkerställa att styrelsen i Dotterbolaget genomför överlåtelsen av Teckningsoptionerna i enlighet med punkt (iii) ovan. Styrelsen bemyndigas dessutom att vidta sådana mindre justeringar av den extra bolagsstämmans beslut som kan visa sig nödvändiga i samband med registreringen av Teckningsoptionerna hos Bolagsverket och Euroclear Sweden AB.

Vid den extra bolagsstämmans beslut i enlighet med förslagen ovan avser styrelsen att makulera de återstående 73 000 utestående teckningsoptionerna av serie 2020/2024 I som emitterades vid årsstämman den 14 maj 2020.

Den totala utspädningen vid fullt utnyttjande av alla utestående teckningsoptioner i Bolaget justerat i enlighet med makuleringen ovan, inklusive emissionen i enlighet med förslaget uppgår till ca. 2,20 procent av det totala antalet aktier och röster i Bolaget vid tidpunkten för denna kallelse.

Beslut om aktiesplit och därtill relaterad ändring av Bolagets bolagsordning (punkt 8)

I syfte att underlätta handeln i Bolagets aktier på Nasdaq First North Premier Growth Market föreslår styrelsen att den extra bolagsstämman beslutar att

1. antalet aktier i Bolaget ökar genom delning av varje befintlig aktie till tio aktier (10:1) (aktiesplit). Med förbehåll för aktier som kan komma att emitteras efter dagen för denna kallelse kommer antalet aktier i Bolaget genom aktiespliten öka till 346 537 200 aktier, med ett kvotvärde om 0,07 kronor,
2. § 5 i Bolagets bolagsordning ändras så att det minsta antalet aktier som är tillåtet är 270 000 000 och det högsta antal aktier som är tillåtet är 1 080 000 000 med föreslagen lydelse

3. § 4 i Bolagets bolagsordning ändras så att den lägsta nivån på aktiekapitalet som är tillåtet är 18 900 000 kronor och den högsta nivån på aktiekapitalet som är tillåtet är 75 600 000 kronor med föreslagen lydelse

Aktiekapitalet ska vara lägst 18 900 000 kronor och högst 75 600 000 kronor.

4. att styrelsen bemyndigas att besluta om avstämningsdag för aktiespliten och att vidta andra åtgärder eller justeringar av detta beslut som kan visa sig nödvändiga för att registrera aktiespliten.

Skälen till detta förslag är att styrelsen önskar öka likviditeten i Bolagets aktier, eftersom ett större antal aktier och ett lägre pris per aktie underlättar handeln av Bolagets aktier på Nasdaq First North Premier Growth Market.

Beslut om bemyndigande för styrelsen att emittera aktier, konvertibler och teckningsoptioner (punkt 9)

Styrelsen föreslår att den extra bolagsstämman beslutar om bemyndigande för styrelsen att intill nästa stämma, med eller utan avvikelse från aktieägarnas företrädesrätt, vid ett eller flera tillfällen besluta om emission av aktier, konvertibler och/eller teckningsoptioner. Ökningen av aktiekapitalet, vilket inkluderar utgivande av, konvertering till eller nyteckning av aktier, får – om den sker med avvikelse från aktieägarnas företrädesrätt – motsvara en utspädningseffekt om högst 10 procent av aktiekapitalet vid den tidpunkt när bemyndigandet utnyttjas för första gången vid emission av aktier, konvertibler och/eller teckningsoptioner. Betalning får ske kontant och/eller med bestämmelse om apport eller kvittning eller i övrigt med villkor. Bemyndigandet ska främst användas för förvärvs- eller finansieringssyfte.

Vid ett bolagsstämmobeslut i enlighet med ovanstående förslag avser styrelsen att makulera utestående volym av det registrerade bemyndigandet för styrelsen att emittera aktier, konvertibler och teckningsoptioner som beslutades om på årsstämman den 14 maj 2020.

Uppgift om antal aktier och röster samt om innehav av egna aktier

Det totala antalet aktier och röster i Bolaget vid tidpunkten för denna kallelses utfärdande var 34 653 720 stycken. Samtliga aktier har lika röstvärde. Bolaget innehar inga egna aktier.

Majoritetskrav

Beslut enligt punkten 7 i dagordningen är giltigt endast om det har biträtts av aktieägare företrädande minst nio tiondelar av såväl de avgivna rösterna som de aktier som är företrädda vid den extra bolagsstämman.

Beslut enligt punkterna 8 och 9 i dagordningen är giltiga endast om de har biträtts av aktieägare företrädande minst två tredjedelar av såväl de avgivna rösterna som de aktier som är företrädda vid den extra bolagsstämman.

Handlingar

Handlingar som ska hållas tillgängliga före den extra bolagsstämman enligt aktiebolagslagen hålls tillgängliga hos Bolaget (adress enligt ovan) samt på Bolagets webbplats, www.stillfront.com, minst tre veckor före den extra bolagsstämman. Nämnda handlingar skickas till de aktieägare som begär det och uppger sin postadress eller e-postadress.

Aktieägares rätt att begära upplysningar

Aktieägare erinras om sin rätt att begära upplysningar enligt 7 kap. 32 § aktiebolagslagen. En begäran om upplysningar ska lämnas skriftligen till Bolaget via e-post till egm@stillfront.com eller via post på adress Stillfront Group AB (publ), "Extra bolagsstämma", Sveavägen 9, 111 57 Stockholm, senast tio dagar före den extra bolagsstämman. Styrelsen och den verkställande direktören ska, om någon aktieägare begär det och styrelsen anser att det kan ske utan väsentlig skada för Bolaget, lämna upplysningar om förhållanden som kan inverka på bedömningen av ett ärende på dagordningen, genom att hålla dem tillgängliga i skriftlig form hos Bolaget senast fem dagar före den extra bolagsstämman. Upplysningarna ska också inom samma tid skickas till den aktieägare som har begärt dem och uppgett sin postadress, samt hållas tillgängliga för aktieägarna på webbplatsen. Upplysningsplikten gäller även Bolagets förhållande till andra koncernföretag.

Shareholders who wish to participate at the Extraordinary General Meeting shall

1. be registered in the share register kept by Euroclear Sweden AB on the record day which is Wednesday 9 December 2020; as well as
2. notify the Company of their intention to participate at the Extraordinary General Meeting by sending a complete postal voting form, and where applicable, proxy forms, registration certificates and other authorisation documents, no later than by Wednesday 16 December 2020 by way of mail to Stillfront Group AB (publ), "Extraordinary General Meeting", Sveavägen 9, 111 57 Stockholm, or electronically via the web link provided on the Company's website.

To be entitled to participate at the Extraordinary General Meeting, shareholders with nominee-registered shares through a bank or other nominee must temporarily register their shares in their own name with Euroclear Sweden AB (so called voting-rights registration). Shareholders requesting such registration must notify their nominee well before 9 December 2020. Registration of voting rights that has been requested by shareholders at such a time that the registration has been made by the relevant nominee no later than on 11 December 2020 will be taken into account in the presentation of the share register.

Information on postal voting

In light of the outbreak of the corona virus that causes COVID-19 and for the safety of all shareholders, Stillfront has decided that the Extraordinary General Meeting will be held only by postal voting in accordance with the Temporary Exceptions Act (2020:198) to facilitate the implementation of general meetings of corporations and associations (Sw. Lag om tillfälliga undantag för att underlätta genomförandet av bolags- och föreningsstämmor). This means that the Extraordinary General Meeting will be held without the presence of shareholders, representatives and third parties, i.e. no meeting with the possibility to attend in person will take place.

A digital form for postal voting is available via the web link provided on the Company's website www.stillfront.com under the heading “General Meetings”. The postal voting form must be received by the Company no later than on 16 December 2020. The form may be submitted electronically via the before mentioned link or by post to Stillfront Group AB (publ), "Extraordinary General Meeting", Sveavägen 9, 111 57 Stockholm. The submission of a postal voting form is considered as a notification of participation at the Extraordinary General Meeting.

A postal vote can be withdrawn up to and including 16 December 2020 by emailing such request to support@postrosta.se. If two or more forms have the same date, only the form most recently received will be considered.

The shareholder cannot give other instructions than to select one of the response options by each item listed in the form. If the shareholder has provided the form with special instructions or conditions, or changed or made additions to the printed text, the postal vote is invalid. Further instructions can be found in the postal voting form.

Shareholders voting through proxy shall issue a dated proxy form. If the proxy form is issued by a legal entity, it must be accompanied by a certified copy of the registration certificate or equivalent document which indicates the persons authorized to represent the legal entity. The proxy form is valid for one year after issuance, but may be valid for up to five years after issuance if so specified. The registration certificate may not be older than one year. The original proxy form and any registration certificate must be uploaded and attached to the digital postal voting form and sent to the Company in accordance with the above mentioned instructions (see information on postal voting). Appointment of the chairman for the meeting (item 2)

It is proposed that Jan Samuelson is elected chairman of the Extraordinary General Meeting.

The board of directors proposes that the Extraordinary General Meeting approves the voting register drawn up on the basis of the postal votes received in due order.

Approval of the agenda (item 4)

The board of directors proposes that the Extraordinary General Meeting approves the proposed agenda.

Election of one or two persons to approve the minutes (item 5)

The board of directors proposes that the Extraordinary General Meeting elect a person who attends the meeting and who is proposed by the chairman to approve the minutes. If possible, a person who is not a board director or employee in the Company is appointed. In the assignment of the person verifying the minutes includes checking the voting list and that received postal votes are correctly reproduced in the minutes of the meeting.

Examination of whether the meeting has been duly convened (item 6)

The board of directors proposes that the Extraordinary General Meeting approves that it has been duly convened.

Resolution on a long-term incentive program (LTIP) by way of an issue of warrants and approval of transfers of warrants to key-personnel (item 7)

Background and reasons for the proposal

A prerequisite for the successful implementation of the group’s business strategy and safeguarding of its long-term interests is that the group is able to retain the best competencies and their loyalty, and that the Company’s executive management and other key-personnel of the group (the “Key-Personnel”) continue to deliver results and performance at a high level. The board of directors finds it important and in all shareholders’ interest that Key-Personnel have a long-term interest in a positive development of the share price of the Company.

At the Annual General Meeting on 14 May 2020, it was resolved to establish a long-term incentive program and issue up to 350,000 warrants (”LTIP 2020/2024 I”) to be offered to Stillfront’s executive management and other key-personnel of the group. 277,000 of these warrants were acquired by the relevant key-personnel in June 2020, while the remaining 73,000 warrants are held by Stillfront for future allotment.

Due to the strong development of the Stillfront share price since May 2020, the exercise price for the warrants of series LTIP 2020/2024 I is well below current share price and the remaining pool of warrants of series LTIP 2020/2024 I has consequently lost its LTIP characteristics. Therefore, the board of directors intends to cancel the remaining 73,000 outstanding warrants of series LTIP 2020/2024 I and proposes that the Extraordinary General Meeting resolves on a new long-term incentive program (the “LTIP 2020/2024 II”), with the same terms and conditions as LTIP 2020/2024 I, except for the exercise price and maximum number of warrants, see below under “terms and conditions for the issue of warrants”. The maximum number of warrants proposed to be issued under LTIP 2020/2024 II is 125,000, resulting in a total dilution upon full exercise of all outstanding warrants in the Company adjusted in accordance with the cancellation mentioned above, including the issue in accordance with the proposal, of approx. 2.20 percent of the total number of shares and votes in the Company at the date of this notice.

The Board of Directors’ proposal

In light of the above, the board of directors proposes that the Extraordinary General Meeting resolves on (i) a long-term incentive program (LTIP 2020/2024 II) for certain Key-Personnel; (ii) a directed issue of not more than 125,000 warrants and (iii) approving that the wholly-owned subsidiary that subscribes for the warrants transfers them to the participants in the LTIP 2020/2024 II.

Preparation of the proposals

The LTIP 2020/2024 II has been prepared by the remuneration committee and in consultation with the board of directors. The proposals have been adopted by the board of directors.

Terms and conditions for the issue of warrants

The board of directors proposes that the Extraordinary General Meeting resolves to issue warrants on the following terms:

• The Company shall issue not more than 125,000 warrants of series 2020/2024 II (the "Warrants").
• The right to subscribe for Warrants shall, with deviation from the shareholders' preferential right, belong to the wholly owned subsidiary to the Company, Todavia AB, (the "Subsidiary").
• Over-subscription is not allowed.
• No participant in the LTIP 2020/2024 II will be offered to subscribe for more than 100,000 Warrants under the proposed LTIP 2020/2024 II.
• Subscription of the Warrants shall take place on a separate subscription list no later than 28 February 2021. The board of directors is entitled to prolong the subscription period. The Warrants shall be allotted to the Subsidiary free of charge.
• Each Warrant entitles the holder to subscribe for one (1) new share, with the current quotient value of SEK 0.7, in the Company on the last banking day each month during the period 1 June 2023 up to and including 30 June 2024.
• The price for the shares at exercise shall be equal to the average volume weighted share price for the Company’s share on Nasdaq First North Premier Growth Market, or such other market place in Sweden on which the Company's shares are admitted to trading, during the period from and including 3 December 2020 until and including 16 December 2020, adjusted upwards with 8 percent annual interest. The price shall however not be lower than the quotient value of the share.
• Shares issued as a result of subscription will carry rights to dividends as of the first record date for dividends that occur after registration of the share issue with the Swedish Companies Registration Office and the shares have been registered in the share register kept with Euroclear Sweden AB.
• The complete terms and conditions for the Warrants are set forth in the board of directors’ complete proposal that will be held available in accordance with what is set out below. As set forth therein, the subscription price, as well as the number of shares which a Warrant entitles subscription for, may be recalculated in the event of a share split, bonus issue, new issue and in certain other cases.
• The increase of the Company’s share capital will, upon exercise of the Warrants, amount to not more than SEK 87,500, subject to such increase that may occur due to recalculation of the subscription price and the number of shares which each Warrant entitles subscription for in the event of issues etcetera.

Terms and conditions for transfer of the warrants

The board of directors proposes that the Extraordinary General Meeting resolves to approve transfer of the warrants on the following terms:

• In accordance with above, the right to subscribe for Warrants shall, with deviation from the shareholders' preferential right, belong to the Subsidiary. The Subsidiary shall in turn be entitled to offer and transfer the Warrants to Key-Personnel within the framework of the LTIP 2020/2024 II.
• The board of directors shall be entitled to resolve on the final allotment of the Warrants. The allotment will be assessed on an individual basis for the Key-Personnel, taking into consideration such Key-Personnel’s positions within the group and their respective total remuneration.
• Transfer of the Warrants from the Subsidiary to the Key-Personnel shall be to a price corresponding to market value of the Warrants at the time for the transfer calculated in accordance with Black&Scholes of an independent appraiser.
• Warrants that are not transferred as above or that are repurchased by the Subsidiary under any warrant agreements, entered into by the Subsidiary and the respective Key-Personnel, shall be retained by the Subsidiary, so that according to instructions from the Company's board of directors are offered and transferred to other Key-Personnel or canceled if the Company's board of directors so requires.
• The Warrants shall otherwise be covered by customary terms, which i.a. means the Warrants shall be subject to an obligation for Key-Employees who wish to transfer or otherwise sell the Warrants to third parties to first offer the Subsidiary to acquire the Warrants. The Warrants shall also be covered by a right for the Subsidiary to repurchase of the Warrants if a Key-Employee's employment in the Company ceases, or if the Key-Employee resigns or has been dismissed, during the program term.

The reason for deviating from the shareholders’ preferential right is to achieve optimum alignment of interests between the participants in the LTIP 2020/2024 II and the shareholders and to promote long-term ownership of shares.

The board of directors are authorized to implement the resolution in accordance with items (i) and (ii) above and to ensure that the board of directors of the Subsidiary carries out the transfer of Warrants according to item (iii) above. In addition, the board of directors is authorized to make such minor adjustments in the Extraordinary General Meeting’s resolutions as may be required in connection with the registration of the Warrants with the Swedish Companies Registration Office and Euroclear Sweden AB.

Upon the Extraordinary General Meeting’s resolution in accordance with the proposals above, the board of directors intends to cancel the remaining 73,000 outstanding warrants of Series 2020/2024 I issued at the Annual General Meeting on 14 May 2020.

The total dilution upon full exercise of all outstanding warrants in the Company adjusted in accordance with the cancellation mentioned above, including the issue in accordance with the proposal, will amount to approx. 2.20 percent of the total number of shares and votes in the Company at the date of this notice.

Resolution on share split and related amendment of the Company’s articles of association (item 8)

With the purpose to facilitate the trade in the Company’s shares on Nasdaq First North Premier Growth Market, the board of directors proposes that the Extraordinary General Meeting resolves that

1. the number of shares in the Company is increased by division of each existing share into ten shares (10:1) (share split). Subject to any shares issued after the date of this notice, the number of shares in the Company will through the share split increase to 346,537,200 shares, each with a quota value of SEK 0.07,
2. § 5 of the articles of association of the Company is amended so that the minimum number of shares permitted is 270,000,000 and the maximum number of shares permitted is 1,080,000,000 with the proposed wording

The reasons for the proposals are that the board of directors wishes to increase the liquidity of the Company's shares, as a larger number of shares and a lower price per share facilitates the trade of the Company's shares on Nasdaq First North Premier Growth Market.

Resolution on authorization for the board of directors to issue shares, convertible instruments and warrants (item 9)

The board of directors proposes that the Extraordinary General Meeting resolves to authorize the board of directors to, until the next General Meeting, with or without deviation from the shareholders' preferential rights, on one or several occasions resolve to issue shares, convertible instruments and/or warrants. The increase of the share capital, which entails issuance, conversion or subscription for new shares, may – where it entails a deviation from the shareholders' preferential rights – correspond to a dilution of a maximum of 10 percent of the share capital at the time of the first use of the authorization to issue shares, convertible instruments and/or warrants. Payment may be made in cash and/or with a condition to pay in kind or by way of set-off, or other conditions. The authorization shall primarily be used for the purpose of acquisitions or financing.

Upon the Extraordinary General Meeting’s resolution in accordance with the proposals above, the board of directors intends to cancel the outstanding volume of the registered authorization for the board of directors to issue shares convertible instruments and warrants resolved at the Annual General Meeting on 14 May 2020.

Details of number of shares, votes and holding of own shares

The total amount of shares and votes in the Company at the time of issue of this notice was 34 653 720 shares. All shares carry equal voting rights. The Company does not hold any own shares.

Majority requirements

The resolution set out under agenda item 7 requires for validity that shareholders holding not less than nine-tenths of both the votes cast as well as the shares represented at the Extraordinary General Meeting vote in favour of the proposal.

The resolution set out under agenda items 8 and 9 requires for validity that shareholders holding not less than two-thirds of both the votes cast and the shares represented at the Extraordinary General Meeting vote in favour of the proposal.

Documents that shall be made available prior to the Extraordinary General Meeting pursuant to the Swedish Companies Act will be made available at the Company (address as above) and on the Company's webpage, www.stillfront.com, not less than three weeks before the Extraordinary General Meeting. Shareholders' right to request information

Shareholders are reminded of their right to request information pursuant to Chapter 7, Section 32 of the Swedish Companies Act. Everguild grundades 2014 av Andres Tallos och Isabel Tallos och har sex anställda vid sitt kontor i Madrid, Spanien. Everguild har hittills släppt två plattformsspel inom CCG-genren; Drakenlords och The Horus Heresy: Legions. Dess första titel, Drakenlords, är ett multiplattformsspel inom CCG med djupgående gameplay och lättillgänglig spelmekanik. Vid lanseringen i november 2016 erhöll spelet ”platform featuring” på Google Play och App Store. Everguilds andra titel, The Horus Heresy: Legions, är ett så kallat card-battler-spel baserat på Games Workshops Warhammer 40,000-universum. Av den initiala aktiebaserade köpeskillingen betalades ca 0,54 miljoner GBP genom kvittning genom överlåtelse av 5 971 nyemitterade aktier i Stillfront till Grundarna. Nyemissionen beslutades baserat på det bemyndigande till styrelsen i Stillfront som beslutades på årsstämman den 14 maj 2020. Genom nyemissionen kommer Stillfronts aktiekapital att öka med 4 179,70 kronor. Anledningen till avvikelse from aktieägares företrädesrätt var för att möjliggöra för Stillfront att uppfylla sina åtaganden i samband med förvärvet av Everguild. Antalet nyemitterade aktier har beräknats genom den volymvägda genomsnittskursen per aktie i Stillfront som handlas på Nasdaq First North Premier Growth Market under de senaste fem handelsdagarna före dagens datum (exklusive dagens datum) konverterad till GBP till en kurs motsvarande den genomsnittliga växelkursen mellan SEK och GBP hos Sverige Riksbank publicerad på https://www.riksbank.se/en-gb/ under samma period. Teckningspriset per aktie i relation till den initiala köpeskillingen uppgår således till 1 039,27 SEK. Detta motsvarar en utspädning om 0,0172 % på en fullt utspädd basis (dvs. baserat på det totala antalet aktier och röster registrerade i Stillfront efter emissionen i anslutning till betalning av den initiala köpeskillingen). De nyemitterade aktierna tecknades och betalades per dagens datum. Betalning skedde genom kvittning. De nyemitterade aktierna berättigar till utdelning från den första avstämningsdagen för utdelning som inträffar efter att sådana aktier har registrerats hos Bolagsverket och i aktieboken som administreras av Euroclear Sweden AB.

Vidare kan Stillfront komma att erlägga en tilläggsköpeskilling till Grundarna om ett sammanlagt maximalt belopp om 9,94 miljoner GBP på en kontant och skuldfri basis. Tilläggsköpeskillingen till Grundarna ska erläggas genom ca 50 % i kontanter och ca 50 % i nyemitterade aktier i Stillfront samt i relation till de övriga säljarna enbart i kontanter. Den ultimata storleken av den årliga tilläggsköpeskillingen är beroende av utvecklingen av EBIT i Everguild under räkenskapsåren 2021, 2022, 2023 och 2024. Den totala köpeskillingen som Stillfront kan komma att erlägga för transaktionen kan inte överstiga 11 GBP miljoner på kontant och skuldfri basis.

Teckningspriset för de nyemitterade aktierna hänförlig till tilläggsköpeskillingen kommer baseras på den volymviktade genomsnittskursen för aktierna i Stillfront som handlas på Nasdaq Firth North Premier Growth Market under en period om fem handelsdagar före och fem handelsdagar efter Stillfronts offentliggörande av de finansiella resultaten för räkenskapsåren 2021, 2022, 2023 och 2024 (som tillämpligt), konverterat till GBP till en genomsnittlig växlingskurs mellan SEK och GBP hos Sveriges Riksbank publicerad på https://www.riksbank.se/en-gb/ under samma period som framgår ovan.

Everguild has a preliminary unaudited IFRS converted net revenue and adjusted EBIT for the period LTM 31 August 2020 of approx. GBP 1.18 million and approx. GBP 0.21 million, respectively.

Of the upfront consideration, approx. GBP 0.54 million was paid by way of set-off against transfer of 5,971 newly issued shares in Stillfront to the Founders. The new share issue was resolved based on the mandate to the board of directors of Stillfront granted at the annual general meeting held on 14 May 2020. Through the new share issue, Stillfront’s share capital will increase by SEK 4,179.70. The reason for the deviation from the shareholders’ pre-emption rights was to allow Stillfront to fulfill its commitments made in connection with the acquisition of Everguild. The number of newly issued shares has been calculated by using the volume weighted average price per share in Stillfront traded on Nasdaq First North Premier Growth Market during the five trading days preceding the date hereof (excluding the date hereof) converted into GBP at the average exchange rate between SEK and GBP of the Swedish Central Bank (Sw. Riksbanken) published at https://www.riksbank.se/en-gb/ during the same period, i.e. the subscription price per share related to the upfront consideration amounts to SEK 1039.27. This corresponds to a dilution of 0.0172% on a fully diluted basis (i.e. based on the total number of shares and votes registered in Stillfront after the share issue in connection with the payment of the upfront consideration). The newly issued shares were subscribed and paid for on the date hereof. Payment was made by way of set-off. The newly issued shares shall be entitled to dividend as from the first record day for dividend after such shares have been registered with the Swedish Companies Registration Office and in the share register kept by Euroclear Sweden AB.

Further, an earn-out consideration may be payable by Stillfront to the sellers in an aggregate maximum amount of GBP 9.94 million on a cash and debt free basis. Any portion of the earn-out consideration payable to the Founders shall be satisfied with approx. 50% payable in cash and approx. 50% in newly issued shares in Stillfront and in relation to the other sellers, in cash only. The ultimate size of the yearly earn-out component will depend on the EBIT development of Everguild for the financial years 2021, 2022, 2023 and 2024. The total purchase price payable by Stillfront for the transaction cannot exceed GBP 11 million on a cash and debt free basis.

The subscription price for newly issued shares related to the earn-out consideration will be based upon the volume weighted average price of the shares in Stillfront traded on Nasdaq Firth North Premier Growth Market for a period of five trading days prior to and five trading days following Stillfront’s announcement of financial results for the financial years 2021, 2022, 2023 and 2024 (as applicable), converted into GBP at the average exchange rate between SEK and GBP of the Swedish Central Bank (Sw. Riksbanken) published at https://www.riksbank.se/en-gb/ during the same period as set forth above.

Everguild will be consolidated into Stillfront's consolidated financial reporting from 1 November 2020.

Köpeskillingen för den Första Tranchen, vilken har betalats till Säljarna av Nanobit per dagens datum, uppgick till ca 100 miljoner USD på en kontant- och skuldfri basis, varav ca 30 miljoner USD betalades genom kvittning i en riktad nyemission av 280 542 aktier i Stillfront till de två grundarna av Nanobit, Alan Sumina och Zoran Vučinić ("Grundarna") och de återstående ca 70 miljoner USD betalades kontant till Säljarna. Nyemissionen beslutades av styrelsen för Stillfront baserat på bemyndigandet som beslutades vid årsstämman den 14 maj 2020. Genom nyemissionen kommer aktiekapitalet i Stillfront att öka med 196 379,4 SEK. Skälen till avvikelse från aktieägares företrädesrätt var att möjliggöra för Stillfront att uppfylla sina åtaganden i samband med förvärvet av Nanobit samt betalning för den Första Tranchen. Teckningspriset per aktie var 937,076 SEK, vilket fastställts efter förhandling med Säljarna, och motsvarar den volymvägda genomsnittskursen per aktie i Stillfront under de tio handelsdagarna före den 17 september 2020 (exklusive den 17 september 2020) på Nasdaq First North Premier Growth Market och en växlingskurs för USD/SEK om 8,763 motsvarande den genomsnittliga växelkursen mellan SEK och USD hos Sveriges Riksbank publicerad på https://www.riksbank.se/en-gb/ under samma period. De nyemitterade aktierna tecknades och betalades idag. Betalningen genomfördes genom kvittning. De nyemitterade aktierna berättigar till utdelning första gången på den avstämningsdag för utdelning som infaller närmast efter det att sådana aktier registrerats hos Bolagsverket och i aktieboken hos Euroclear Sweden AB. Genom nyemissionen av aktier i samband med fullföljande av den Första Tranchen innehar Grundarna tillsammans cirka 0,81 procent av utestående aktier och röster i Stillfront och, som en konsekvens, uppgår utspädningen för de befintliga aktieägarna i Stillfront till 0,81 procent. Samtliga villkor för fullföljande av den Första Tranchen har nu blivit uppfyllda.

Fullföljande av förvärvet av resterande 22 % av aktierna i Nanobit ("Andra Tranchen") kommer ske under 2023 för en köpeskilling som är beroende av utvecklingen av utvecklingen av EBITDA i Nanobit under räkenskapsåren 2021 och 2022, men som däremot inte får överstiga 48 miljoner USD på en kontant- och skuldfri basis och där 70 % ska betalas kontant och 30 % i nyemitterade aktier i Stillfront. Köpeskillingen för den Andra Tranchen ska betalas vid fullföljande av den Andra Tranchen under 2023.

Den totala köpeskillingen som Stillfront kan komma att erlägga i relation till samtliga aktier i Nanobit kan inte överstiga 148 miljoner USD på en kontant- och skuldfri basis.

På grund av att Stillfront kommer att förvärva de återstående 22 % av aktierna i Andra Tranchen, har Stillfront och Grundarna idag ingått ett aktieägaravtal. Aktieägaravtalet har ingåtts för att fastställa vissa villkor för Nanobits verksamhet och för att reglera det interna förhållandet mellan Stillfront och Grundarna med avseende på ägande av andelar i och styrning av Nanobit. Aktieägaravtalet kommer att sägas upp när köpeskilling för Andra Tranchen har betalats och Stillfront är ägare till 100% av aktierna i Nanobit.

Vidare har Stillfront och Grundarna per idag ingått ett aktiepantavtal där de återstående aktierna i Nanobit som ska förvärvas i Andra Tranchen har pantsatts till Stillfront av Grundarna.

The consideration for the First Tranche Transaction, which has been paid to the Sellers of Nanobit on the date hereof, amounted to approx. USD 100 million, on a cash and debt free basis. Of the consideration, approx. USD 30 million was paid by way of set-off against transfer of 280,542 newly issued shares in Stillfront through a directed share issue to the two founders of Nanobit, Alan Sumina and Zoran Vučinić (the “Founders”), and the remaining approx. USD 70 million was paid in cash to the Sellers. The new share issue was resolved by the Board of Stillfront based on the mandate granted at the annual general meeting held on 14 May 2020. Through the new share issue, Stillfront’s share capital will increase by SEK 196,379.4. The reason for the deviation from the shareholders’ pre-emption rights was to allow Stillfront to fulfill its commitments made in connection with the acquisition of Nanobit and payment under the First Tranche Transaction. The subscription price per share was SEK 937.076, determined through negotiations with the Sellers, and corresponds to the volume weighted average price of Stillfront’s share for a period of ten (10) trading days preceding 17 September 2020 (excluding 17 September 2020) on Nasdaq First North Premier Growth Market and a USD/SEK exchange rate of 8.763 corresponding to the average exchange rate between SEK and USD of the Swedish Central Bank (Sw. Sveriges Riksbank) published at https://www.riksbank.se/en-gb/ during the same period. The newly issued shares were subscribed and paid for on the date hereof. Payment was made by way of set-off. The newly issued shares shall be entitled to dividend as from the first record day for dividend after such shares have been registered with the Swedish Companies Registration Office and in the share register kept by Euroclear Sweden AB. Through the new issue of the shares in connection with the completion of the First Tranche Transaction, the Founders of Nanobit, collectively hold approx. 0.81 percent of the outstanding shares and votes in Stillfront, and consequently, the dilution for the current shareholders in Stillfront is 0.81 percent. All conditions for closing of the First Tranche Transaction have now been fulfilled.

The closing of the acquisition of the remaining 22% of the shares in Nanobit (the “Second Tranche Transaction”) will occur in 2023 for a consideration which is depending on the EBITDA development of Nanobit for the financial years 2021 and 2022 but however not exceeding USD 48 million on a cash and debt free basis, out of which 70% shall be paid in cash and 30% in newly issued shares in Stillfront. The consideration for the Second Tranche Transaction is payable upon completion of the Second Tranche Transaction in 2023.

The total purchase price payable by Stillfront in relation to all shares in Nanobit cannot exceed USD 148 million on a cash and debt free basis.

Due to that Stillfront will acquire the remaining 22% of the shares in the Second Tranche Transaction, Stillfront and the Founders have as of today entered into a shareholders’ agreement. The shareholders’ agreement has been entered into in order to establish certain terms and conditions regarding the business of Nanobit and in order to regulate the internal relationship between Stillfront and the Founders with respect to ownership of shares in and governance of Nanobit. The shareholders’ agreement will be terminated when consideration under the Second Tranche Transaction has been paid and Stillfront is the owner of 100% of the shares in Nanobit.

Further, Stillfront and the Founders have as of today entered into a share pledge agreement in which the remaining shares in Nanobit to be purchased in the Second Tranche Transaction has been pledged to Stillfront by the Founders.

Nanobit will be consolidated into Stillfront’s consolidated financial reporting from 1 October 2020.

Uppdaterat finansiellt tillväxtmål för perioden 2021–2023

Finansiella mål för lönsamhet och skuldsättningsgrad förblir oförändrade för perioden 2021–2023
Stillfronts mål är att nå en justerad EBIT-marginal omkring 35 procent. Den justerade EBIT-marginalen definieras som EBIT exklusive avskrivningar av förvärvsrelaterade- och jämförelsestörande poster i relation till nettoomsättningen. Den justerade EBIT-marginalen kan variera mellan kvartalen framförallt beroende på nivån av kostnader för kundanskaffning och produktutveckling.

Skuldsättningsgraden bör inte överstiga en nettoskuld/justerad EBITDA-ratio om 1,5x. Justerad EBITDA pro forma definieras som justerad EBITDA inklusive förvärv och exklusive jämförelsestörande poster för de senaste tolv månaderna. Stillfront kan under vissa omständigheter besluta att överskrida denna nivå under kortare tidsperioder.

Stillfront Group updates the financial growth target to replace the previous one, which was communicated in conjunction with the Capital Markets Day in November 2019.

Updated financial growth target for the period 2021-2023
Stillfront’s updated growth target is to reach a net revenue of SEK 10,000 million by 2023. Growth will be achieved organically as well as through acquisitions.

Stillfront's new financial growth target reflects the industry development, Stillfront's estimated future organic growth and growth through acquisitions.

Financial targets regarding profitability and leverage remain unchanged for the period 2021-2023
Stillfront’s profitability target is to reach an Adjusted EBIT margin in the region of 35 percent. The Adjusted EBIT margin is defined as EBIT excluding amortization of PPA-items and items affecting comparability, in relation to net revenue. The Adjusted EBIT margin may vary quarter to quarter depending on mainly the level of user acquisition and product development.

The Net Debt/Adjusted EBITDA ratio should not exceed 1.5x. Adjusted EBITDA pro forma is defined as adjusted EBITDA including acquisitions and excluding items affecting comparability for the last twelve months. Stillfront may however, under certain circumstances, choose to exceed this level during short time periods.
